1. Acceptance of Terms
By accessing or using BlueTape-AI ("the Service"), operated by ezclick LLC ("we," "us," or "our") at bluetape-ai.com, you ("you" or "User") agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, and all applicable laws and regulations. If you do not agree with any part of these Terms, you must immediately stop using the Service.
These Terms constitute a legally binding agreement between you and ezclick LLC. We may update these Terms at any time, and your continued use of the Service after such changes constitutes acceptance of the revised Terms.
2. Description of Service
BlueTape-AI is a web-based project management tool designed for homeowners, builders, contractors, and trades to track and manage tasks (punch list items) during home construction, renovation, or commissioning. The Service allows users to log issues, assign them to contractors and teams, track progress through a defined workflow, collaborate with team members, and use AI-powered features for task management.
3. Eligibility
You must meet the following requirements to use the Service:
- Be at least 18 years of age, or the age of majority in your jurisdiction, whichever is greater
- Have the legal capacity to enter into a binding agreement
- Not be a person barred from using the Service under the laws of the United States or any other applicable jurisdiction
- If using the Service on behalf of a company or organization, you must have authority to bind that entity to these Terms
4. Account Registration and Security
To use the Service, you must:
- Provide accurate, current, and complete registration information
- Maintain the security and confidentiality of your account credentials
- Promptly update your information if it changes
- Immediately notify us at support@bluetape-ai.com if you suspect unauthorized access to your account
You are solely responsible for all activity that occurs under your account, whether or not you authorized it. We are not liable for any loss or damage arising from unauthorized use of your account. We reserve the right to disable any account at any time if we believe you have violated these Terms.
5. Subscription, Payment, and Billing
BlueTape-AI offers a free tier with limited features and paid subscription plans with expanded capabilities. By subscribing to a paid plan, you agree to the following:
- Free tier: Limited items per home with core features included. Subject to usage limits as defined by the current plan configuration
- Paid plans: Higher item limits, additional homes, and premium features, billed monthly or annually as selected at the time of purchase
- Payment processing: All payments are securely processed by Stripe, Inc. We do not store your credit card or payment information on our servers
- Recurring billing: Paid subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date
- Price changes: We may change subscription pricing at any time. Price changes will take effect at the start of your next billing period. We will provide at least 30 days' advance notice of any price increase
- Cancellation: You may cancel your subscription at any time through your account settings or the Stripe billing portal. Access to paid features continues until the end of your current billing period. No partial refunds are provided for early cancellation
- Refunds: Refund requests are handled on a case-by-case basis. Contact us at support@bluetape-ai.com within 14 days of a charge
- Failed payments: If a payment fails, we may suspend access to paid features until the payment issue is resolved. We will attempt to notify you before suspension
6. Acceptable Use Policy
BlueTape-AI is designed exclusively for managing home construction, renovation, and commissioning projects. You agree to use the Service only for its intended, lawful purpose.
6.1 Prohibited Content
You may not upload, share, store, transmit, or make available through the Service any content that:
- Is pornographic, sexually explicit, or obscene
- Depicts, promotes, or facilitates child sexual abuse material (CSAM) or the exploitation of minors in any form
- Promotes or glorifies violence, terrorism, self-harm, or suicide
- Constitutes hate speech, harassment, bullying, threats, or discrimination based on race, ethnicity, national origin, religion, gender, gender identity, sexual orientation, disability, or any other protected characteristic
- Is defamatory, libelous, or fraudulent
- Infringes on the intellectual property, privacy, publicity, or other rights of any third party
- Contains personal information of third parties without their consent
- Contains viruses, malware, ransomware, or other harmful or malicious code
6.2 Prohibited Activities
You may not:
- Use the Service for any illegal, unlawful, or unauthorized purpose
- Use the Service to facilitate fraud, money laundering, tax evasion, or other financial crimes
- Use the Service in connection with the sale or distribution of illegal drugs, weapons, or controlled substances
- Attempt to gain unauthorized access to any part of the Service, other accounts, or connected systems
- Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Service
- Interfere with, disrupt, or place an undue burden on the Service or its infrastructure
- Use automated means (bots, scrapers, crawlers) to access or collect data from the Service without our express written consent
- Impersonate any person or entity, or falsely claim an affiliation with any person or entity
- Use the Service to send spam, phishing attempts, or unsolicited commercial communications
- Circumvent, disable, or otherwise interfere with security features of the Service, including features that prevent or restrict use or copying of content
- Use the Service for any purpose unrelated to home construction, renovation, or commissioning project management
- Sublicense, resell, or redistribute the Service or access to it without our prior written consent
6.3 Enforcement
Violations of this Acceptable Use Policy will result in immediate account suspension or permanent termination, without prior notice or refund. We reserve the right to:
- Remove or disable access to any content that violates these Terms
- Suspend or terminate accounts at our sole discretion
- Report illegal activity, including CSAM, to the National Center for Missing & Exploited Children (NCMEC) and appropriate law enforcement authorities
- Cooperate with law enforcement investigations and comply with valid legal process
- Preserve and disclose information as required by law or as we reasonably believe necessary to protect our rights, property, or safety, or the rights, property, or safety of others
7. User Content
You retain ownership of all content you submit to the Service, including tasks, comments, photos, documents, and notes ("User Content"). By submitting User Content, you grant ezclick LLC a worldwide, non-exclusive, royalty-free, sublicensable license to use, store, display, reproduce, and process your content solely for the purpose of providing, maintaining, and improving the Service.
You represent and warrant that: (a) you own or have the necessary rights, licenses, and permissions to submit your User Content; (b) your User Content does not violate any third party's rights, including intellectual property, privacy, or publicity rights; and (c) your User Content complies with these Terms and all applicable laws.
We do not claim ownership of your User Content. We do not endorse, verify, or assume responsibility for any User Content. We reserve the right to remove any User Content that violates these Terms or that we find objectionable, without prior notice.
8. Copyright and Intellectual Property (DMCA)
We respect the intellectual property rights of others and expect our users to do the same. If you believe that content on the Service infringes your copyright, you may submit a notice under the Digital Millennium Copyright Act (DMCA) to our designated agent:

Your DMCA notice must include:
- A physical or electronic signature of the copyright owner or authorized agent
- Identification of the copyrighted work claimed to have been infringed
- Identification of the infringing material and its location on the Service

- A statement that you have a good faith belief that use of the material is not authorized by the copyright owner
- A statement, under penalty of perjury, that the information in the notice is accurate and that you are the copyright owner or authorized to act on behalf of the owner
We will respond to valid DMCA notices promptly and may disable access to or remove the infringing content. Repeat infringers will have their accounts terminated.
9. AI Features and Disclaimer
The Service includes AI-powered features (Smart Import for tasks, rooms, teams, people, and appliances; project health insights; troubleshooting guidance; system detection) provided through third-party AI services. When using these features:
- Your submitted text may be processed by third-party AI APIs (such as OpenAI) to generate structured data and recommendations
- AI-generated results are provided "as-is" and may contain errors, inaccuracies, or omissions. You are solely responsible for reviewing and verifying all AI output before relying on it
- We do not use your data to train AI models. However, third-party AI providers may have their own data processing practices as described in their respective privacy policies
- AI features may change, be updated, or be discontinued at any time without notice
- We are not liable for any decisions, actions, or outcomes based on AI-generated content
10. Team Collaboration and Shared Access
When you invite others to collaborate on a home project, they will be able to access certain information including your name, email, and shared project content based on their assigned role (Owner, Contractor, Team Member, or Viewer). You are responsible for:
- Managing access to your projects and invitations
- Ensuring invited collaborators are aware of and agree to these Terms
- Any actions taken by collaborators you have invited to your projects
- Revoking access when a collaborator should no longer have it
11. Service Availability and Modifications
We strive to keep BlueTape-AI available at all times, but we do not guarantee uninterrupted, error-free, or secure access. The Service may be temporarily unavailable due to:
- Scheduled or unscheduled maintenance
- Software updates and improvements
- Circumstances beyond our reasonable control (force majeure), including natural disasters, internet outages, or third-party service failures
We reserve the right to modify, suspend, or discontinue the Service (or any part of it) at any time, with or without notice. We are not liable to you or any third party for any modification, suspension, or discontinuation of the Service.
12. Disclaimer of Warranties
The Service is provided on an "as is" and "as available" basis, without warranties of any kind, either express or implied. To the fullest extent permitted by applicable law, we disclaim all warranties, including but not limited to:
- Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
- Any warranty that the Service will be uninterrupted, timely, secure, or error-free
- Any warranty regarding the accuracy, reliability, or completeness of any content or information provided through the Service
- Any warranty that defects will be corrected
You use the Service at your own risk. We do not warrant that the Service will meet your specific requirements or expectations. No advice or information, whether oral or written, obtained from us or through the Service creates any warranty not expressly stated in these Terms.
13. Limitation of Liability
To the maximum extent permitted by applicable law, ezclick LLC, its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to:
- Loss of profits, revenue, data, or business opportunities
- Cost of procurement of substitute goods or services
- Personal injury or property damage related to your use of the Service
- Any unauthorized access to or alteration of your data or transmissions
- Any bugs, viruses, or other harmful components transmitted through the Service
- Any errors or omissions in content or for any loss or damage incurred as a result of the use of any content
In no event shall our total aggregate liability for all claims related to the Service exceed the greater of (a) the amount you have paid us in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) one hundred U.S. dollars ($100.00).
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the fullest extent permitted by law.
14. Indemnification
You agree to indemnify, defend, and hold harmless ezclick LLC, its officers, directors, employees, agents, affiliates, and licensors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your use of or access to the Service
- Your User Content
- Your violation of these Terms
- Your violation of any third-party rights, including intellectual property, privacy, or proprietary rights
- Your violation of any applicable law, rule, or regulation
- Any claim that your User Content caused damage to a third party
This indemnification obligation will survive the termination of these Terms and your use of the Service.
15. Termination and Suspension
We reserve the right to immediately suspend or permanently terminate your account, without prior notice or refund, if we determine in our sole discretion that you have violated these Terms. Grounds for immediate suspension or termination include, but are not limited to:
- Uploading or sharing prohibited content (pornographic, violent, hateful, or illegal material)
- Using the Service to facilitate any illegal activity
- Uploading content that exploits or endangers minors
- Repeated or egregious violations of the Acceptable Use Policy
- Attempts to circumvent security measures or abuse platform infrastructure
- Activity that poses a risk to other users, the Service, or the public
- Creating multiple accounts to circumvent plan limits or enforcement actions
- Failure to pay for subscribed services after reasonable notice
15.1 Voluntary Termination
You may delete your account at any time by contacting us at support@bluetape-ai.com. Before requesting account deletion, you may export your data using the backup feature in your account settings. We will process deletion requests within 30 days.
15.2 Effect of Termination
Upon termination for any reason:
- Your right to use the Service ceases immediately
- All licenses granted to you under these Terms are automatically revoked
- We may delete your account data after a reasonable retention period, except as required by law
- We may retain certain data for legal compliance, fraud prevention, enforcement of these Terms, or other legitimate business purposes
- Suspended or terminated accounts due to Terms violations are not eligible for refunds of any kind
15.3 Survival
The following sections shall survive termination: Acceptable Use Policy (enforcement), User Content (license), Disclaimer of Warranties, Limitation of Liability, Indemnification, Dispute Resolution, and Governing Law.
16. Dispute Resolution and Arbitration
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.
16.1 Informal Resolution
Before filing any formal dispute, you agree to first contact us at support@bluetape-ai.com and attempt to resolve the dispute informally for at least 30 days. Most disputes can be resolved this way.
16.2 Binding Arbitration
If the dispute cannot be resolved informally, you and ezclick LLC agree to resolve any claims relating to these Terms or the Service through final and binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration will be conducted in English, and the arbitrator's decision will be final and enforceable in any court of competent jurisdiction.
16.3 Class Action Waiver
You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration against ezclick LLC.
16.4 Exceptions
Notwithstanding the above, either party may bring an individual action in small claims court for disputes within the court's jurisdiction. Either party may also seek injunctive or equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights or confidential information.
17. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the State of Washington, United States, without regard to its conflict of law provisions. To the extent that arbitration does not apply, you consent to the exclusive jurisdiction of the state and federal courts located in King County, Washington, for the resolution of any disputes.
18. Changes to Terms
We may update these Terms from time to time at our sole discretion. When we make material changes, we will:
- Post the updated Terms on this page with a revised "Last updated" date
- Notify registered users via email for material changes
- Provide at least 30 days' notice before material changes take effect
Your continued use of the Service after the effective date of revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Service and may request account deletion.
19. General Provisions
19.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and ezclick LLC regarding the Service and supersede all prior agreements, representations, and understandings.
19.2 Severability
If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
19.3 Waiver
Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision. Any waiver must be in writing and signed by us to be effective.
19.4 Assignment
You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign or transfer these Terms, in whole or in part, without restriction and without notice to you (for example, in connection with a merger, acquisition, or sale of assets).
19.5 Force Majeure
We shall not be liable for any failure or delay in performing our obligations under these Terms if such failure or delay results from circumstances beyond our reasonable control, including natural disasters, war, terrorism, riots, government actions, internet outages, or third-party service failures.
